Corporate and Commercial Senior Associate, Elsie Lyford, and Commercial Property Legal Director, James Corrigan, advised on the sale of a group of three care homes in North Wales to an established operator.
Sale of Gwynfa Lodge Care Home group
Gwynfa Lodge Care Home comprises Towyn Capel Residential Home in Trearddur Bay, Gwynfa Residential Home and Gwynfa II The Lodge near Caernarfon in North Wales. All three homes provide residential care for up to 73 adults, including those living with dementia and complex care needs.
The group’s owners, the Langford family, decided to exit the business after several decades, ahead of their retirement.
The sale of the group to experienced care home operator, Skyline Care Ltd., was managed by leading broker, Redwoods Dowling Kerr (RDK), with Elsie Lyford and James Corrigan from our Commercial Services division advising the sellers on the legal aspects.
Elsie advised on:
- The legal and regulatory compliance requirements associated with the exit and sale, including those associated with Care Home Inspectorate Wales (a regulatory body equivalent to the Care Quality Commission)
- The structure of the sale
- Due diligence
- Commercial agreements to protect the sellers’ interests during the sale
James advised on the transfer and sale of the care home premises.
