Barcan and Kirby’s Corporate team, led by Georgina Bryant (Partner) and Oliver Kent (Associate), recently advised the shareholders and directors of K4 Service (K4S) as the company became part of the Nordic Climate Group (NCG).

The deal marks NCG’s first acquisition of a South West-based company, following a string of other UK business acquisitions over the last year.

About K4 Services

K4S is a renowned Heating, Ventilation, and Air Conditioning (HVAC) designer and installer, headquartered in Devon but serving the whole of England and Wales across a wide range of sectors. It undertakes complex projects and specialises in large-tonnage chiller plant installations and replacements. The company was founded by Ian MacDowall and Gordon Keyworth, with Clive Peacock joining the board in 2025.

About Nordic Climate Group

NCG, founded and headquartered in Sweden, now comprises over 100 local branches across nine northern European countries. It sets its goal to be a role model in sustainable climate solutions that provide cooling and heating.

What the acquisition means for K4S

In line with NCG’s strategy, K4S will retain its identity, well-respected brand and leadership, but will now have access to the broader NCG network. Ian, Gordon and Clive will continue with the business as directors.

Barcan and Kirby was introduced to K4S by their longstanding accountants, Chalmers HB. The firm has worked with the Corporate team on a number of sales of owner-managed businesses.

“I just want to personally thank all of you for your efforts in getting this deal over the line. You have all been super professional and a pleasure to work with.”

– Ian MacDowell, K4S founder
